Physical Verification of Company’s Registered Office

MCA has amended the Companies (Incorporation) Rules, 2014 and specified the
process for physical verification of the registered office of a company by the
Registrar, who would be required to:
- visit the registered address office of a company and cause its physical verification in the presence of two local and independent witnesses, along with the assistance of the local police, if required;
- cross verify the documents filed by a company on MCA21 portal during the physical verification;
- take a photograph of the registered office during the physical verification; and
- submit a report of such physical verification, in the prescribed format, along with the documents.
In the event the registered office of a company is found incapable of receiving and acknowledging communications and notices, the Registrar would send a notice requesting the company and all its directors to send representations along with documents within 30 days from the date of such notice, failing which the Registrar may take further actions to remove the name of the company from register of companies.
